For applications requiring more than a standard solution, STANDA is ready to meet your needs with customised proposals. As described in the tab below, STANDA's extensive capabilities in the design and manufacture of mechanical parts, the development of advanced systems and the manufacture of customised mechanical devices enable us to offer solutions for the most advanced technical applications.

Limited Warranty

Subject to the limitations set forth in these Terms and Conditions of Sale, STANDA warrants (the "Limited Warranty") that all Products sold by STANDA will conform to STANDA’s published specifications for such Products and shall be free from defects in materials and workmanship under normal use, handling, and service. STANDA provides optional extended warranty coverage beyond the standard 1-year period.

Prices

All prices published by STANDA or quoted by an STANDA representative may be changed at any time without notice.

Changes, Cancellations, Returns

STANDA reserves the right to make changes in Products or to make substitutions and modifications in the specifications of the Products without notice, and without any obligation to incorporate those changes in any Products previously delivered to the purchaser. STANDA will ship the most current Product regardless of catalog description, if applicable, provided that such substitutions or modifications do not materially affect the performance of the Products.

Orders may be cancelled only upon STANDA’s prior written approval, which may be granted or withheld at STANDA’s sole discretion. For any permitted Order cancellation, the purchaser shall be liable for the fees and costs of all work done and materials purchased or provided up to the time of cancellation, plus a charge for overhead and loss of profit, and any other cancellation charges, including without limitation non-recurring engineering expenses, restocking fees, cancellation costs payable by STANDA to its suppliers, and any other costs incurred by STANDA relating to such cancellation. Additionally, the purchaser shall pay the difference between any volume discount previously given and the current list or non-discounted price of the Product at the time of cancellation. In no event shall the purchaser be liable for more than the contract price of the cancelled Products.

Where STANDA has agreed in writing to a return of a product, any such return is subject to inspection after receipt by STANDA. Purchasers may not return any customized Product. Purchasers bear all risk of loss or damage to returned Products until delivery at the STANDA designated facility. Any return shipment received by STANDA shall be in its original condition.

Prohibition on Using STANDA’s Product as a Prototype

Buyer shall not use STANDA’s Products as prototypes, nor permit such use by any third party. Buyer acknowledges and agrees that it is entering into this contract with the understanding that the price for the Products has been set to reflect Buyer’s agreement not to reverse engineer, copy, or duplicate the Products, or use the Products as a prototype, nor permit any third party to do so. If Buyer did not acknowledge and agree to this, the prices for the Products would be significantly higher.

Certificate of Origin

Products are of Lithuanian origin (EU). A Certificate of Origin is available upon request.

Miscellaneous

Export Control Laws

Buyer acknowledges that Products obtained from STANDA are subject to export or import laws, legislation, regulations, and restrictions. These may include the European Union Dual Use Export Control Regime and other national legislation related to trade controls. Purchaser understands and acknowledges that:

It shall not sell, export, or re-export, directly or indirectly, to countries under sanctions any goods supplied under this contract, purchase order, repair order, or similar agreement that fall under the scope of Article 12g of Council Regulation (EU) No 833/2014, as amended, or Article 8g of Council Regulation (EC) No. 765/2006, as amended.

In accordance with American and other applicable export control legislation (particularly Lithuanian law), the Customer is obliged to obtain all necessary export licenses or other documentation at their own cost prior to the export of products or technical information received from STANDA.

The Customer shall not sell, export, re-export, supply, or otherwise forward such products or technical information, directly or indirectly, to persons, companies, or countries if doing so would violate American or any other applicable laws or regulations (particularly Lithuanian laws). The Customer must inform all recipients of such products or technical information about the need to comply with these laws and regulations.

The Customer shall procure at its own expense all necessary licenses and export/import documents for the use of the products. Refusal of an export license does not entitle the Customer to terminate the contract or claim damages.

Buyer warrants that it, its subsidiaries, and affiliates will not directly or indirectly export, re-export, transfer, or release any Products or derived products to any destination, person, entity, or end use prohibited or restricted under applicable laws, regulations, and legislation. Buyer agrees to defend, indemnify, and hold STANDA harmless for any damages or costs arising from Buyer’s failure to comply with these terms.

Force Majeure

STANDA shall not be liable for, nor shall STANDA be considered in breach of these Terms and Conditions of Sale due to, any failure to deliver, delay in delivery, or failure to perform obligations caused by events beyond its reasonable control. These events include, but are not limited to: act of God, acts of military, civil, or regulatory authorities, riots, terrorist acts, embargoes, epidemics or pandemics, fire, flood, earthquake, storm or similar events, disruption or outage of communications, power or utilities, labor disputes or strikes, shortages or unavailability of materials, failure or omission by suppliers, carriers, subcontractors, or any other cause, whether similar or dissimilar to the foregoing.
